These Terms of Service ("Terms") govern your access to and use of the website mimimiactivity.com and all related services (collectively, the "Service") operated by MI MI MI SAPUN EOOD ("we," "us," or "our"), operating under the brand name MIMIMI ACTIVITY, a company registered in Bulgaria.

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise accessing the Service, you confirm that you:

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable prior notice when practicable.

3. Subscription Terms

3.1 Subscription Plans

3.2 Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. We will notify you before any charge is made.

5. Intellectual Property

All content available through the Service, including but not limited to video courses, images, text, graphics, logos, trademarks, and software, is the exclusive property of MI MI MI SAPUN EOOD or our licensors and is protected by copyright, trademark, and other intellectual property laws of the European Union and international treaties.

5.2 Limited License

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and view the content for personal, non-commercial use only. You may not:

  • Copy, reproduce, distribute, or publicly display any content from the Service.
  • Download, record, or capture video content by any means, including screen recording.
  • Modify, adapt, translate, reverse-engineer, or create derivative works from the content.
  • Use the content for any commercial purpose, including resale or redistribution.

Any feedback, suggestions, or ideas you submit to us regarding the Service may be used by us without obligation or compensation to you.

6. User Conduct

7. Payment Terms

7.1 Merchant of Record

All payments for MIMIMI ACTIVITY are processed by Paddle.com ("Paddle"), which acts as our Merchant of Record. This means Paddle is the entity that sells you the subscription and handles all billing, payment processing, tax compliance, invoicing, and refund transactions.

7.2 Pricing

All prices are displayed in the currency shown at checkout and include applicable taxes (including VAT) where required. Paddle automatically handles tax calculation and collection based on your location. We reserve the right to change our prices with at least 30 days' notice before your next billing cycle.

7.3 Payment Processing

All payments are processed securely through Paddle. By completing a purchase, you authorize Paddle to charge your chosen payment method for the subscription fees. We do not store your payment details on our servers.

7.4 Failed Payments

If a payment fails, Paddle will attempt to charge your payment method again and notify you of the failure. If payment cannot be collected after reasonable attempts, your subscription may be suspended or cancelled.

8. Cancellation and Refunds

8.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on all subscription purchases. If you are not satisfied with the Service for any reason, you may request a full refund within 30 days of your initial purchase date or the start of your current billing period. For full details, please see our Refund Policy.

8.2 Right of Withdrawal (EU Cooling-Off Period)

As an EU consumer, you also have the statutory right to withdraw from your subscription within 14 days of the initial purchase without giving any reason, in accordance with Directive 2011/83/EU. This right is in addition to our 30-day money-back guarantee. To exercise this right, notify us by a clear statement (e.g., an email to support@mimimiactivity.com).

8.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period.
  • You will not be charged for subsequent billing periods.
  • You will retain access to all content until the end of your paid period.

8.4 Refund Processing

All refunds are processed by Paddle, our Merchant of Record. Refunds are returned using the same payment method used for the original purchase and typically take 5-10 business days.

9. Limitation of Liability

9.1 Disclaimer

The content provided through the Service is for informational and educational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before starting any exercise program.

9.2 Limitation

To the maximum extent permitted by applicable EU law, MI MI MI SAPUN EOOD and its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
  • Any personal injury or health issues resulting from your use of the content or participation in exercises.
  • Any loss of data, profits, or business opportunities.
  • Any unauthorized access to or alteration of your data or transmissions.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by EU law.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria and applicable European Union law, without regard to conflict of law principles. If you are a consumer residing in the EU, you also benefit from any mandatory provisions of the consumer protection laws of your country of residence.

11. Dispute Resolution

11.1 Amicable Resolution

We encourage you to contact us first at legal@mimimiactivity.com to resolve any disputes amicably before pursuing formal proceedings.

11.2 Online Dispute Resolution

In accordance with Regulation (EU) No 524/2013, the European Commission provides an Online Dispute Resolution (ODR) platform, accessible at https://ec.europa.eu/consumers/odr. You may use this platform to resolve disputes arising from online purchases.

11.3 Jurisdiction

If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Plovdiv, Bulgaria, unless mandatory consumer protection laws of your country of residence provide otherwise.

12. Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Notify you at least 30 days before the changes take effect via email or a notice on the Service.
  • Update the "Last updated" date at the top of these Terms.
  • Give you the opportunity to review the changes and cancel your subscription if you do not agree.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Termination

We may suspend or terminate your access to the Service if:

  • You breach any provision of these Terms.
  • We are required to do so by law or a court order.
  • Your account is involved in fraudulent or illegal activity.
  • We discontinue the Service (with reasonable prior notice).

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

  • Entire agreement: these Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and MI MI MI SAPUN EOOD regarding the Service.
  • Assignment: you may not assign your rights or obligations under these Terms without our prior written consent.
